Job Description
1) Ensure compliance with statutory and regulatory requirements of Unlisted Public Companies under the Companies Act, 2013.
2) Maintain and update the company’s statutory registers and records.
3) Handle various corporate secretarial duties including the filing of necessary e-forms with regulatory authorities.
4) Prepare agendas and board papers for meetings.
5) Prepare notices of Board, Committee and Shareholders’ meetings.
6) Prepare Annual Disclosures, Annual Reports and other communications.
7) Assist in the development and implementation of corporate policies.
8) Maintain records of Company meetings and resolutions.
9) Ensure the Company’s compliance with the applicable laws.
10) Undertake and drive process and system improvements.
11) Ensure Directors’ Engagement and Board evaluation.
12) Proactive in conducting Secretarial, Statutory and Internal Audit.
13) Assist in website updation as per Companies Act, 2013
14) Prepare resolutions by circulation and other circulars.
15) Provide legal guidance on matters affecting the company, ranging from mergers and acquisitions.
16) Understanding of various and critical provisions of Companies Act, 2013 including its statutory notifications, as amended from to time.
17) Aware of compliances with the Insider Trading and Listing Regulations.
18) Co-ordination with internal departments, stakeholders and deliver accurate data/information as desired by them.
19) Perform any other related duties as assigned.

Responsibility:
1) Minimum 3-4 years of experience in proficiency of the secretarial responsibilities preferably in an unlisted public company.
2) Bachelor’s degree in Commerce and Law or a related field.
3) Member of ICSI and Professional qualification of Company Secretary.
4) Good written and verbal communications skills, coupled with interpersonal skills.
5) High level of integrity and professionalism.
6) Flexible and open to changing priorities and managing multiple tasks simultaneously within compressed timeframes.
7) Proactive and set priorities within tight timelines.
8) Maintain confidentiality and handle confidential matters with utmost care.
9) Analyse complex legal and regulatory issues and propose effective solutions.
10) Possess strong problem-solving skills to address issues promptly and mitigate risks to the organisation.
11) Commitment to continuous learning on changes in laws and regulations.
12) Excellent organizational and communication skills.
13) Ability to work independently.
